Court Grants Final Order Approving Acquisition of Kneat by Thoma Bravo

LIMERICK, Ireland, Aug. 06, 2026 (GLOBE NEWSWIRE) -- kneat.com, inc. (TSX: KSI) (OTCQX: KSIOF), (“Kneat” or the “Company”), the global leader in digital validation and quality process automation, today announced that the Ontario Superior Court of Justice (Commercial List) has issued a final order approving the previously announced plan of arrangement (the “Proposed Transaction”) whereby an affiliate of Thoma Bravo, L.P. (“Thoma Bravo”) will acquire all of the outstanding common shares of the Company (the “Shares”), other than any rollover shares.

Subject to the satisfaction or waiver, where permitted, of the remaining conditions to closing contained in the arrangement agreement entered into between the Company and the Purchaser dated June 8, 2026, it is anticipated that the Proposed Transaction will be completed by the parties on or about August 11, 2026.
